Separating and re-establishing IT in an orderly way during restructuring and carve-outs
A business unit is being spun off, sold or reorganised. We clarify dependencies in networks, systems and contracts, plan the separation for the fixed date and secure operations afterwards.
In an IT carve-out, the IT of a business unit is separated from its previous organisation. FlixConsulting records networks, systems, interfaces and contracts, plans the separation for the fixed separation date and describes the transitional services with SLAs. The goal is an independent, segmented infrastructure for the new unit with clear responsibilities.
Does this sound familiar?
If several points apply, a conversation is worthwhile.
- A business unit is being sold or spun off, and the separation date has already been set.
- Networks, sites and applications are shared. It is unclear where the boundary lies.
- Licences, maintenance contracts and service provider contracts are in the name of the previous organisation.
- After a merger, duplicate systems, networks and responsibilities exist side by side.
- There is no operating model yet for the period after the separation.
What happens if nothing happens
- Outages on the separation date because interfaces and dependencies were overlooked.
- Unplanned costs from extended transitional services or renegotiated contracts.
- Security gaps if networks and access rights are not cleanly separated after the split.
- A new unit without an operations organisation, documentation or clear responsibilities.
How we work
- 01
Record dependencies
We record networks, systems, interfaces, licences and contracts and assign them to the future organisation. Open issues become visible early, not on the separation date.
- 02
Plan the separation and target state
We define the target network structure with its own segmentation, plan the separation steps backwards from the separation date and define rollback plans.
- 03
Describe transitional services
We describe transitional services with SLAs, durations and exit criteria, and support the coordination with the previous organisation and the service providers.
- 04
Set up operations for the new unit
We create operating and service concepts, hand over documentation and monitoring and clarify responsibilities before the transitional services end.
What you have afterwards
- An overview of technical and contractual dependencies, available before the separation date.
- A separation plan with steps, owners and rollback plans.
- An independent, segmented network structure for the new unit.
- Agreed transitional services and an operating model for the period afterwards.
In practice
Questions about this situation
When should IT be involved in a carve-out?
As early as possible, ideally before the separation date is set. The analysis of dependencies and contracts shows which separation steps are realistic by then and which transitional services will be needed.
What are transitional services?
Services that the previous organisation or a service provider continues to deliver for a limited period after the separation date, such as network or application operations. They are usually agreed in transitional service agreements (TSAs). We describe them with SLAs, duration and exit criteria so that the new unit can replace them in a planned way.
Do you also support mergers?
Yes. Mergers and reorganisations follow the same approach: record dependencies, define the target state, migrate in steps and secure operations. Instead of the separation, we then plan the consolidation of duplicate systems, networks and responsibilities.
