Orderly IT carve-out: separating networks, contracts and operations
Separate a business unit on the IT side: split networks and contracts, agree transitional services and secure operations afterwards.
- Industry
- Banking & financial services
An IT carve-out succeeds when technical and contractual dependencies are known before the cut-over date. This is followed by a separate, segmented network structure, clearly described transitional services (TSAs) and a step-by-step separation with a rollback concept. FlixConsulting plans and manages this separation, from the dependency analysis to operations with dedicated SLAs.
Where organisations stand
- A business unit is being spun off or sold. Networks, sites and applications are closely intertwined with the existing organisation.
- The cut-over date is fixed. Which systems, interfaces and contracts are affected is only partly known.
- After the separation, operations must continue, often initially via transitional services from the existing organisation or a service provider.
How we work
- 01
Analysis
We record networks, sites, applications and interfaces in a dependency inventory, for example in NetBox, and review the existing service provider contracts.
- 02
Target architecture
We design a separate network structure with its own segmentation and firewall rules and define the scope and duration of the transitional services.
- 03
Delivery
We separate the networks step by step with test and rollback concepts, secure transitions via IPsec, move identities into a dedicated Azure AD environment and coordinate the service providers.
- 04
Handover to operations
We hand over operating and service concepts with SLAs for availability, response and recovery times to the new IT organisation and plan the exit from the transitional services.
What changes afterwards
- Technical and contractual dependencies are known before the cut-over date.
- The separated unit has an independent, segmented network structure.
- Transitional services and operations after the separation are governed by SLAs and clear responsibilities.
Questions about this use case
When should IT planning for a carve-out begin?
As early as possible, ideally before the cut-over date is set. The dependency analysis shows which separation is technically and contractually realistic and where transitional services are needed.
What do transitional services cover from an IT perspective?
They define which IT services the existing organisation still provides after the cut-over date, at what quality and until when. We describe these services with SLAs and plan the exit from them in the roadmap.
